Are you an experienced corporate attorney with outstanding negotiation and communication skills and in-depth transactional knowledge of multiple areas of the law? If so, we’d love to connect. Our company is ramping up for massive growth and we need someone to provide sound counsel on a variety of legal matters and help us analyze, negotiate, and execute deals. Our ideal applicant will have several years of corporate law experience, be in good standing with the state bar association, and thrives in a fast-paced work environment.

  • Advise clients towards best practices in corporate law regulation compliance by providing legal advice on corporate governance, policies, procedures, finances, intellectual property, employment, operations, and regulatory issues
  • Execute, negotiate, create, and modify deals on the clients’ behalf
  • Represent clients as legal counsel during administrative board reviews, legal proceedings, and litigations when necessary
  • Assess legal rights and legal risk of various company structures, and make recommendations for corporation, joint venture, limited partnership, and limited liability company options
  • Examine existing and prospective projects, mergers, partnerships, divestitures, and acquisitions for any potential legal issues
  • Develop strategies for risk-mitigation and shield clients from legal risks and regulatory violations in all business transactions
  • Oversee support staff, paralegals, and outside lawyers hired to assist
  • Perform complex legal research and extensive due diligence
  • Draft, review, and modify contracts, government and financial reports, process and procedure policies, and other legal documents as required
  • Requires 3-5 years of experience as a staff attorney or associate attorney for a corporate law firm, an in-house counsel for a corporation, or as a corporate lawyer
  • Licensed to practice law and member in good standing of the state bar association
  • Bachelor’s degree and a Juris Doctor degree from an accredited law school
  • In-depth transactional knowledge and understanding of corporate law, tax law, and securities law is necessary

  • Extreme comfort with learning and using multiple technologies and software with an ability to expertly troubleshoot software problems independently, and a self-declared natural to using different software. Fair warning, if you aren't at an above-average tech proficiency, you won't be set up to succeed on our team
  • Big Law experience is a plus
  • Securities experience and genuine crypto interest are considered a huge bonus

Our company at CORPlaw represents really cool companies (think crypto millionaires, high-growth tech start-ups, esports, influencers, etc.) as their full-service, litigation, and transactional, outside General Counsel. This isn't "door law". We don't touch family law, PI, criminal, etc., but we do offer a wide range of services to holistically advise clients as their fractional GCs (think employment, IP, contracts, raising capital, management of business disputes, and all areas where business and law collide).

Our tech-forward firm has a physical office space in WeWork Brickell City Center and operates a hybrid in-person and remote team environment. Some of our staff are fully remote and some take advantage of or otherwise simply prefer working from an in-person space.
