We’re looking for an attorney to join us in helping our clients’ businesses grow. We help franchisees and other entrepreneurs get their deals done. If you haven’t run deals but have relevant experience and want to learn more and become better, this is a great opportunity. You will work directly with a partner on projects and get as much oversight and training as you and we decide you need. We will mentor you on drafting, negotiation, client management and case management skills. You will be exposed to our networks and learn about the huge and varied franchise industry. Your job will be to assist with larger matters; take the lead on some aspects of those larger matters; and take the lead on some smaller matters - all the while learning and building skills to get to a point where you can give clients practical and insightful help and direction.


  • Reviewing and negotiating all documents with respect to business and commercial real estate sales, acquisitions, and leases and amendments, representing our clients in purchases and leasing of commercial properties and business opportunities.
  • Interpreting leases and contracts.
  • Drafting, reviewing, and negotiating letters of intent, memoranda of understanding, and agreements for the purchase of franchised businesses and leases.
  • Review and provide advice to prospective franchisees regarding Franchise Disclosure Documents.
  • Review and negotiate Franchise Agreements, Multi-unit Franchise Agreements, Area Development Agreements, and Master Franchise Agreements.
  • Advise on and draft partnership agreements, buy-sell agreements, operating agreements and bylaws.
  • Making mistakes, asking questions, providing input and learning.


The ideal candidate has three to five years of experience with one or more of the following:

  • the purchase and sale of commercial real estate
  • drafting and negotiation of commercial leases
  • asset sales of going concern businesses/mergers & acquisitions
  • corporate or partnership work for closely-held businesses, especially drafting and advising on buy-sell agreements and LLC Agreements, operating agreements and shareholder agreements.

$80,000 - $100,000 yearly
